OrbisX Referral Program Terms & Conditions

These Terms & Conditions (“Terms”) govern participation in the OrbisX Referral Program (“Program”). By participating, you (“Referral Partner”) agree to these Terms.

1. Eligibility & Participation Requirements

1.1. Active Referral Requirement

  • Referral Partners must actively refer new trial accounts or paying customers at least once every six (6) months to maintain eligibility. Inactivity for more than six (6) months may result in disqualification from the Program.

1.2. Brand Representation

  • Referral Partners must uphold the reputation of OrbisX and represent the company in a professional and ethical manner at all times. Misrepresentation, false claims, or unethical promotion methods (such as spam or misleading advertising) will result in removal from the Program.

1.3. Customer Quality & Compliance

  • Referred customers must use the OrbisX platform in good faith and comply with all applicable terms of service. Customers engaging in fraudulent activity, system abuse, or excessive chargebacks will be disqualified, and associated referral commissions will not be paid.

2. Referral Qualification & Payout Structure

2.1. Subscription & Payment Requirements

  • A referred customer must maintain an active OrbisX subscription for a minimum of 12 consecutive months without pauses or breaks, or they must enroll in an annual plan to qualify for referral commission payments.

  • If a Referral Partner signs up at least 25 trial accounts per quarter, they may qualify for commission payouts regardless of customer subscription length.

2.2. Payment Standing

  • Referred customers must keep a valid payment method on file and maintain payments in good standing throughout the required subscription period.

2.3. Commission Payment Details

  • The commission rate is $100 per referred customer that meets all eligibility requirements minus processing and transfer fees.
  • Commissions are paid out via bank transfer, Paypal or Wise payment to a valid US or Canadian bank account only or via credit card payment on an invoice.
  • Payments are processed on a quarterly basis after verification of eligibility.

2.4. Advanced Payment Eligibility

  • Referral Partners who wish to receive early commissions (before the 12-month or annual plan requirement) must provide initial onboarding support to referred customers and offer technical assistance during the trial period.
  • OrbisX reserves the right to delay or withhold early payments if the referred customers require excessive support, fail to convert into paying members, or cancel their subscription before fulfilling the qualification period.

3. General Conditions & Limitations

3.1. Program Integrity

  • OrbisX reserves the right to audit referrals and refuse commission payments if abuse, fraud, or misrepresentation is suspected.

3.2. Termination & Modification

  • OrbisX may modify or terminate this Program at any time, with or without notice. Any changes will apply to referrals made after the effective date of such changes.

3.3. No Employment or Agency Relationship

  • Participation in the Program does not establish any employment, agency, or partnership relationship between OrbisX and the Referral Partner.

3.4. Tax & Legal Compliance

  • Referral Partners are responsible for complying with all applicable tax and reporting requirements. OrbisX does not withhold taxes on behalf of Referral Partners.

4. Dispute Resolution

4.1. Final Decision Authority

  • OrbisX reserves the right to make final decisions on all matters related to referral qualification and commission payouts. Disputes regarding commissions must be submitted in writing within 30 days of the disputed payout period.
